These terms govern the use of the EN16931 / XRechnung / Peppol BIS 3 Validator website and API (the "Service") provided by Niko yhtiöt Oy ("we", "us").
Free validation. You may upload or send an e-invoice XML file (UBL 2.1 or UN/CEFACT CII) and receive a validation report against EN 16931, XRechnung 3.0.2 and Peppol BIS Billing 3.0, and read the rule reference pages. No account is needed. The free service is provided as is, with no availability guarantee; it runs on shared infrastructure and may be slow to wake up or temporarily unavailable.
Paid plans. The repair engine (corrected XML, diff, explanation, profile conversion) is offered for paid periods under the plans and quotas shown on the Pricing page. Quotas are counted per paid period. If a plan is marked as not yet available or not orderable, it cannot be purchased and nothing in these terms obliges us to open it.
PDF/UA check. You may upload a PDF file (max 10 MB) and receive the result of veraPDF with its PDF/UA-1 profile, and the result of the same check after our automatic metadata fix. The check is free; the fixed file is sold per file as described in section 4. veraPDF checks the machine-verifiable requirements of PDF/UA-1 only; the result is not a statement that a document is accessible or meets any law.
Nature of the output. Validation results and repaired files are generated automatically by software. They are technical proposals, not accounting, tax or legal advice. The official requirements are the published standards and national specifications. You are responsible for reviewing a repaired invoice before you issue it, and for its business and tax content.
The Service is designed for businesses and professionals (integrators, software vendors, accounting firms, finance teams). Paid plans are sold to businesses only. By ordering you confirm that you act in the course of a trade, business or profession. Nothing in these terms limits rights that consumers have under mandatory law if a consumer nevertheless uses the Service.
The seller is Niko yhtiöt Oy. You order a paid plan by e-mail with your company name, VAT ID (if you have one), invoicing address and the plan. The contract is concluded when we send you the invoice and the access (API key) for the ordered period. A VAT ID is not required; without one, VAT is charged as described below.
Invoices are payable within 14 days net by bank transfer to the account and with the reference shown on the invoice. Prices shown on our site exclude VAT. For customers in Finland, Finnish VAT (currently 25.5 %) is added. For businesses in other EU member states with a VAT ID valid in VIES, the reverse charge applies and no VAT is added. Business customers in other EU member states without a VIES-valid VAT ID pay Finnish VAT 25.5 % (small seller under the EU one-stop-shop threshold); for customers outside the EU no Finnish VAT is added.
Each period is invoiced in advance and nothing renews automatically; a new period starts only when you order it. If an invoice remains unpaid after a reminder, we may suspend the access until it is paid; statutory interest on late payment applies. Refunds are handled as described in our Refund Policy. The Pilot can also be paid by card through Stripe Checkout. A VAT ID is optional and never required to buy. If you enter an EU VAT ID, we check it in the EU VIES service before payment: businesses in other EU member states with a VIES-valid VAT ID get the reverse charge (no VAT added). Without a VIES-valid EU VAT ID, VAT is added at checkout according to your billing address where applicable: Finnish VAT 25.5 % for customers in Finland and, as a small seller under the EU one-stop-shop threshold, for customers in other EU countries; no VAT for customers outside the EU. The contract is concluded when the payment succeeds; your API key is shown immediately and Stripe sends the receipt. Card refunds are made to the same card. Single-file repair (9 € per file, card payment through Stripe Checkout): on the validation result of a rejected file we show, before payment, which errors the repair removes and whether the corrected file then passes validation. The same VAT ID check and VAT treatment as for the Pilot apply. The contract is concluded when the payment succeeds; the corrected file is downloaded immediately from the confirmation page. We do not store your file: your browser keeps it during the payment, or you select the same file again (we recognise it by its checksum). PDF/UA check and fix (19 € per file, card payment through Stripe Checkout): the check of a PDF against the veraPDF PDF/UA-1 profile is free. Before payment we show which veraPDF rules fail before and after our automatic fix, and which remain. What you buy is the fixed file with exactly that result (“N failed rules before → M after”); it is not a statement that the document is accessible or meets any law. The automatic fix changes document-level metadata only (title, language, viewer preferences, tagged-PDF flags, tab order, XMP metadata) and never the page content; the PDF/UA identifier is added only when veraPDF reports no other failed rule. The same VAT ID check and VAT treatment as for the other card purchases apply. The contract is concluded when the payment succeeds; you download the fixed file from the confirmation page by selecting the same original file again (we recognise it by its checksum). We do not store your file.
We may change prices for future periods with at least 30 days' notice by e-mail. If you do not accept a price change, you may cancel before it takes effect.
Files you submit are processed in memory to produce the result and are not stored by us. Details, including the request log we keep and the role of our hosting and e-mail providers, are in the Privacy Policy. For paid plans we offer a data processing agreement under Article 28 GDPR on request.
The Service uses the KoSIT Validator and the XRechnung validator configuration (Apache-2.0), the Peppol BIS Billing 3 validation artefacts (OpenPeppol) and the EN 16931 Schematron (EUPL-1.2), the latter unmodified. Rule texts shown on the reference pages are quoted from those sources. The Service is independent and not affiliated with KoSIT, CEN or OpenPeppol. You keep all rights to the files you submit and to the repaired output.
We aim to keep the paid Service available but do not promise a specific uptime. We provide the Service with reasonable care and skill. To the extent permitted by law, we exclude all other warranties, and our total liability to a business customer for all claims in any 12-month period is limited to the fees paid by that customer for the same period. We are not liable for indirect or consequential loss, including penalties, lost profits or costs arising from an invoice that was rejected, delayed or issued with incorrect content. Nothing in these terms excludes liability for intent or gross negligence, or any liability that cannot be excluded under Finnish law.
We may update these terms. Material changes are announced on this page and, for subscribers, by e-mail at least 30 days before they take effect. We may suspend or terminate access for a breach of section 5. You may stop using the Service at any time; paid periods end on their own as described in section 4.
These terms are governed by the laws of Finland, excluding its conflict-of-law rules. Disputes with business customers are settled in the District Court of Helsinki. A consumer may also bring a dispute before the Finnish Consumer Disputes Board (kuluttajariita.fi) or the courts of their home country where mandatory law so provides.
Companies can recommend the Service and earn a commission on paid orders placed through their link under the terms on the Partner programme page. Customers who arrive through a partner link pay the same prices and have the same rights under these terms.
